Our desire is to have satisfied customers.  This contract will aid in communication and understanding of what is involved in setting up a new website.  These are the terms of our agreement together: 

2.)    AUTHORIZATION:

The above-named client is engaging  e-Conomy Interprise (Northland Web Builders. Com is our domain name) , a sole proprietor, located in Carlton, MN 55718 (mailing address is P. O. Box 532, Carlton, MN 55718), as an independent contractor for the specific project of developing a website.  The client hereby authorizes e-Conomy Interprise to access the website, directories, and any other programs which need to be accessed for this project and for updates and maintenance.  The client also authorizes e-Conomy Interprise to publicize their completed website for advertising and portfolio purposes. 

3.)    WEBSITE CONTENT:

A.       TEXT:  All text content is to be supplied by the client.  We will help by providing suggestions and comments, but the final outcome will be the sole responsibility of the client.  Text for each page and/or category should be labeled and clearly stated where it is to be shown.

4)       Typed material.

5)       Preprinted materials with the desired text highlighted.

6)       Visit www.northlandwebbuilders.com and click on the “client tools” section to upload text.

7)       Copy your materials onto a cd or floppy.

8)       Send text, cd’s, or floppy’s to e-Conomy Interprise, P. O. Box 532, Carlton, MN 55718

B.     GRAPHICS:

We will not assume any responsibility for copyright infringement for any graphics that you provide to us.  This includes all photos, buttons, banners, and any other graphics that are provided by you and placed on your website.

Any graphics created by e-Conomy Interprise for the client must first be approved by client prior to publishing.  Once approved, payment as indicated in the Fee Schedule portion of this Contract must be made prior to publishing to the website. 

C.     PHOTOS:

Photos are a very important addition to a website. Photos can visually show curious visitors, and potential customers, many aspects of your company and/or business, and may dramatically aid in future sales. 

1)       DIGITAL PHOTOS:

e-Conomy Interprise does offer economy priced on-site photography services in the event that you do not have, or have access to, a digital camera. Our photography services cost much less than a professional photographer. If you are located more than 50 miles from Carlton, MN, travel expenses may be charged.  We do not charge additional editing fees when we do the photography.   

Web-ready means that the file is small, properly sized, and optimized so that it can be loaded and viewed quickly in browsers.  Use the graphics software program that came with your digital camera, or another graphics editing software program, to crop, resize, edit, and save to either a .jpg or .gif extension.    

Although there are no specific size limitations, you generally do not want to exceed 500 pixels in width or height for web-ready photos.  Larger images can be “thumb nailed”.  Exceptions are made for low resolution background images created for tiling.  Animations should be around 40K maximum to assure fast loading. 

D.     PRINTED PHOTOS:

If you have printed photos, we can scan, edit, and make them web-ready.  After scanning your pictures, we will return the originals to you.  

If you have a high resolution scanner, please feel free to scan your own photos.  You possibly have some graphics software that will allow you to edit the scanned images so that they are web-ready. 

4.)    DESIGN AND SET-UP:

Design and set-up costs are calculated on an individual basis.   Be sure to complete a Quote Request or Website Planning Worksheet to provide us with your information and website requirements. Some clients simply want a one page website with just a few photos and some text.  Other clients may need several pages, forms, scripts, thumb-nailed photos, banners, scrolling text, specific layouts, etc.   Design and Set up fees are in addition to the hosting service plan that you choose, and your domain name registration fee. 

Design and Set-Up includes, but not limited to the following:  tiled backgrounds, navigation links, navigation graphics, scripts, forms, text, insertion of photos and graphics, setting up web-mail accounts, and meta tag and page description for search engines.  

We create a temporary website for your approval and make any necessary changes per the client’s instructions.  Once we receive final approval of the website design, and final payment, we will publish your website to your domain name. 

5.)    TIME LIMIT:

We must work together to communicate and complete the website in a timely manner.  Our goal is to strive for a time-frame of no more than 45 days from start to finish.  The text and/or graphics and photos that the client is to provide should be submitted as soon as possible, and we will earnestly work at creating your temporary website for approval. 

6.)    COPYRIGHTS:

Copyright to the finished assembled work of WebPages produced by e-Conomy Interprise is owned by e-Conomy Interprise.  Upon final payment of this contract, the client is assigned rights to use as a website the design, graphics, forms, scripts, html, text, and files contained in the finished assembled website.  e-Conomy Interprise may at any time publish, advertise, or display all or part of a clients website for promotional or portfolio purposes.  We also will insert at the bottom of your home page, “website created by Northland Web Builders.com.” in small text or graphic. 

7.)    APPROVAL OF TEMPORARY WEBSITE:

e-Conomy Interprise will create a temporary website for the client to approve before the website is published.  Any changes, additions, or deletions of text, photos, graphics, layout, background colors, etc., should be communicated to e-Conomy Interprise so that we can modify the temporary site.  After all modifications have been made, the temporary website has received final approval from the client, and final payment has been made, the website will be uploaded to your domain name and published.   

Under no circumstances can any portion of the temporary website be copied, transferred, downloaded, or altered for the purpose of recreating the website to avoid fees.  The temporary website is owned by e-Conomy Interprise until it is published.  Please see copyright information above. 

 

8.)    DOMAIN NAMES:

We will register, transfer, or park a domain name for you.  We do not make any money on this, and simply charge you what we are charged by the servicing company.  The current annual fee for registration or transfer is $9.95 per year.    We suggest that you ad Privacy to your domain for an additional $9.95 per year, which will help prevent internet robot spamming, theft of your domain name, and otherwise compromise your domain name details and use.  Privacy will limit the details which can be publicly viewed.

A domain name is required for all websites created by e-Conomy Interprise, and must be established before we can upload your temporary website.   

9.)    WEBSITE HOSTING:

All websites include the following:

10.)WEB STORE CONTENT  - SELLING PRODUCTS ON LINE

Because of the many variables associated with establishing an on-line web store, an addendum to this contract will be established, reviewed, and included in this Contract before signing. 

11.) SUPPORT AND CONSULTATION

You, the client, will have unlimited email support from e-Conomy Interprise during the length of this contract.  Simply send emails to support@northlandwebbuilders.com for help.  

12.) UPDATES  OR CHANGES TO WEBSITE:

A.     FREE MINOR CHANGES:

It is inevitable that minor updates and changes will have to be made to your website.  We will gladly make minor updates to your website during the length of this contract for no additional fees.  Minor changes can consist of, but not limited to, text, photo, and graphic changes on a few pages.  We will upload new images at no charge only if the image is web-ready and no editing has to be done.  If editing must be done, additional charges may apply.   

B.     MAJOR CHANGES:

1)       If you, or you allow someone else to access your website and make disastrous changes that you can’t correct, and you need us to help put your website back together again, a new set-up fee may be applied, depending upon the damage done.  

2)       Major changes include changes that need to be made to all pages on your website, such as navigation links, background images, forms, or anything that pertains to all pages contained within the website.  If you need to add an additional page to your website, we would have to update all pages to include links to the new page.

3)       If you have a web store, and frequently change product photos, SKU’s, specials, prices, graphics, add new pages, etc., we encourage you to purchase a maintenance package.

4)      If a maintenance package is not purchased, all major changes that must be made to your website will be billed at an hourly rate of $   15.00/hour.

C.     MICROSOFT FRONT PAGE

1)      If you own a copy of Microsoft's Front Page software, you can easily access your files and make any changes at any time. 

D.     CONTROL PANEL

1)      You have the option to access all of your website files within the Control Panel of your hosting account, however this option should be used with caution unless you know html and basic website file structure. 

13.) WEBSITE MAINTENANCE PACKAGE:

If you anticipate that major and frequent changes will be necessary to keep your website up-to-date, you may want to consider a maintenance agreement to avoid the hourly rates.  For example, if you have frequent changes to your specials, product changes, rate changes, etc., you would benefit by having a maintenance package.  Please see the Fee Schedule in this Contract for Website Maintenance Package rates.  Maintenance Packages include all editing of photos, creation of graphics, forms, navigation, and entire website changes.   Also, if you live within a 50 mile radius of Carlton, MN, Maintenance Package #3 also includes on-site photography services. 

14.)PRE-PUBLISH CANCELLATION POLICY:

If e-Conomy Interprise has already started building your temporary website for your approval and you terminate this contract before the website is published, all work that has been completed will be billed at the hourly rate of $    15.00/hourIf the total hourly fees are less than the amount of your initial payment, we will promptly refund the difference.  

For both of our benefits, if you decide against having a website, you should contact  e-Conomy Interprise as soon as possible so that we can stop working on your website, and you stop incurring hourly fees. 

15.) AFTER-PUBLISH CANCELLATION AND REFUNDS:

A.      You, the client, are entitled to a 30-Day money back guarantee on the hosting service fees. e-Conomy Interprise must receive; in writing (not email) notification of your desire to terminate your hosting service on or before the 30th day after your website has been published in order to refund your hosting charges. 

B.       There are no refunds for domain name registration fees.  Once your domain name is registered, you own it for one year from the date of registration.  You can contact the servicing company to have it transferred to another server if you wish.

C.       There will be no refund of server set-up fees if you chose the 3 or 6 month plan.  The annual and two-year plans do not have server set-up fees.

D.      There will be no refunds for services performed for photography, editing, scanning, or graphics, however if e-Conomy Interprise has received full payment from you for these services, we will copy the photos and graphics to a cd and mail it to you.

E.       Maintenance Agreement fees will be refunded for all months following the month of cancellation if paid annually.
